GENERAL TERMS AND CONDITIONS OF SALE AND DELIVERY TRUST & TAILOR BV

Article 1 – Definitions
In these general terms and conditions the following terms shall have the following meanings:

Purchaser: any natural or legal person who acts in the exercise of a profession or business and purchases products and/or services from Trust & Tailor BV

Defect: any deviation of the delivered products from the agreed specifications, or any other shortcoming in the functionality of the products or services.

Agreement: any agreement concluded between Trust & Tailor BV and the Purchaser, including amendments and additional agreements.

Products: all goods and/or services supplied by Trust & Tailor BV, including custom work and advice.

Delivery period: the agreed period within which the products must be delivered.

Article 2 – Applicability
These general terms and conditions apply to all quotations, invoices, agreements and deliveries of Trust & Tailor BV, unless otherwise agreed in writing. General (purchase) conditions of the Purchaser are expressly rejected, unless otherwise agreed in writing. Before a distance contract is concluded, these conditions will be made available to the Purchaser and can be sent free of charge upon request.

Article 3 – Offers and quotations
All offers and quotations from Trust & Tailor BV are without obligation and only bind Trust & Tailor BV if accepted in writing. The information stated in quotations and on the website (such as prices, images and product descriptions) has been drawn up as accurately as possible, but may be subject to change.

Article 4 – Conclusion of the agreement
An agreement is concluded as soon as the Purchaser accepts the offer of Trust & Tailor BV and meets the conditions set. Trust & Tailor BV reserves the right to refuse an order within three working days after receipt or to deliver it under additional conditions.

Article 5 – Prices and payments
All prices are exclusive of VAT and any additional costs, unless otherwise stated. Trust & Tailor BV reserves the right to implement price changes based on changed market conditions, currencies, raw materials or other external factors. Payment must be made within 14 days after the invoice date, unless otherwise agreed in writing. General Terms and Conditions In the event of late payment, the Purchaser will be in default without further notice of default and the statutory interest will be due.

Article 6 – Delivery and transfer of risk
Delivery will take place in accordance with the agreed delivery conditions. Exceeding a delivery period does not entitle to compensation or termination of the agreement, unless otherwise agreed. The risk of loss or damage to the products is transferred to the Purchaser at the time of delivery. In the case of transport by Trust & Tailor BV, transport damage must be reported within 12 hours of receipt.

Article 7 – Complaints and guarantees
The Purchaser must report any defects in writing within 3 working days after delivery. If a complaint is found to be justified, Trust & Tailor BV will proceed to repair, replace or credit the delivered products at its own discretion. Guarantees from suppliers and manufacturers may apply, but Trust & Tailor BV is not a party to this.

Article 8 – Retention of title
All delivered products remain the property of Trust & Tailor BV until the Purchaser has fully met his payment obligation. The Purchaser is obliged to treat the products with care and not to alienate or pledge them before full payment has been made.

Article 9 – Force Majeure
Trust & Tailor BV is not liable for delays or shortcomings in the fulfillment of obligations if these are the result of force majeure, such as natural disasters, strikes, pandemics, government measures or delivery problems with third parties. If the force majeure lasts longer than three months, both parties can terminate the agreement without any obligation to pay damages.

Article 10 – Liability
Trust & Tailor BV is only liable for direct damage resulting from gross negligence or intent and limited to a maximum of the invoice amount of the order in question. Trust & Tailor BV is not liable for indirect damage, such as consequential damage, lost profit or business damage.

Article 11 – Intellectual property and confidentiality
All intellectual property rights relating to the delivered products and designs remain with Trust & Tailor BV unless otherwise agreed in writing.
The Purchaser must keep confidential information received under the Agreement secret and not share it with third parties without permission.

Article 12 – Processing of personal data
If Trust & Tailor BV processes personal data in the context of the agreement, this will be done in accordance with the applicable legislation, including the General Data Protection Regulation (GDPR). Parties can conclude a separate processor agreement if the nature of the data processing requires this.

Article 13 – Termination and dissolution
If the Purchaser is in default with any obligation, applies for a moratorium or is declared bankrupt, Trust & Tailor BV has the right to immediately terminate the agreement and make outstanding claims immediately due. The Purchaser is liable for all costs and damages resulting from such termination.

Article 14 – Applicable law and disputes
These terms and conditions and all agreements between Trust & Tailor BV and the Purchaser are exclusively governed by Dutch law. Disputes will be submitted exclusively to the competent court in the Netherlands.

Article 16 - Maintenance, warranty and liability for textile and work clothing

Maintenance instructions: The textile products supplied by Trust & Tailor BV must be washed and treated in accordance with the maintenance instructions provided. Deviation from this may result in damage to the products, for which Trust & Tailor BV accepts no liability. The guidelines are as follows:

Printing: Wash at a maximum of 30 degrees and turn inside out.
Drying: The use of a tumble dryer is prohibited unless otherwise stated.
Ironing: Iron printed garments inside out, embroidery can be ironed on both the inside and outside.

Warranty conditions: Trust & Tailor BV offers a warranty on material and production defects for a period of 6 months after delivery, provided that the clothing has been washed and maintained correctly according to the instructions. Wear and tear due to normal use, incorrect washing, drying or ironing is not covered by the warranty. Printing and embroidery are susceptible to wear and may fade or come off with intensive use and washing. A limited warranty of 3 months applies to this.

Liability: Trust & Tailor BV is not liable for damage to garments resulting from incorrect washing and maintenance methods.
If a product shows a demonstrable manufacturing or production error, the Purchaser must report this in writing within 7 days of discovery.
Repair, replacement or compensation will only take place if Trust & Tailor BV considers the complaint to be justified and there is no question of incorrect use.

Customisation & Adjustments: There is no right of return for custom-made or personalised workwear, unless there is an error on the part of Trust & Tailor BV
